1. Definitions
- "Service": The FacturaOk platform, including the API, the management panel, the customer portal and all associated functionality.
- "User": Any natural or legal person who registers for and uses the Service.
- "Account": The User's personal space within the Service.
- "User Data": Any information the User enters into the Service (companies, customers, invoices, products).
2. Acceptance of terms
By registering or using FacturaOk, you accept these terms in full. If you do not agree, do not use the Service.
We reserve the right to modify these terms. Material changes will be notified by email at least 30 days in advance.
3. Service description
FacturaOk is a SaaS e-invoicing platform offering:
- Invoice issuance with VeriFactu compliance (Order HAC/1177/2024)
- Automatic generation of chained SHA-256 hash and tax QR code
- B2B e-invoicing (Facturae 3.2.2, UBL 2.1)
- Submission to FACe (Spanish Public Administration)
- Payment collection and due-date management
- Full REST API for integrations
- Customer portal for invoice download
- Multi-company management with sandbox/live isolation
4. Registration and account
- You must provide truthful and up-to-date information when registering.
- You are responsible for keeping your password and API keys secure.
- You must immediately notify us of any unauthorized use of your account.
- An account may not be shared between multiple persons without authorization.
5. User obligations
- Use the Service exclusively for lawful purposes and in accordance with applicable tax law.
- Ensure the accuracy of the tax data entered (tax ID, legal names, amounts).
- Do not issue fraudulent, false or manipulated invoices.
- Do not attempt to access other users' data or compromise system security.
- Do not use the Service for money laundering or tax fraud.
6. Plans and billing
- FacturaOk offers monthly and yearly subscription plans. Prices are published on the website and may be updated with 30 days' notice.
- Subscriptions renew automatically unless cancelled before the billing period.
- Refunds for partial periods are not offered, except in the case of a serious SLA breach.
- All prices are shown excluding VAT. Applicable VAT will be added in accordance with current legislation.
7. Service Level Agreement (SLA)
- Target availability: 99.9% monthly (excluding scheduled maintenance).
- Scheduled maintenance: Notified at least 48h in advance and preferably performed during night hours (00:00–06:00 CET).
- Backups: Daily automatic encrypted backups with 30-day retention.
- Support: Via email (soporte@facturaok.es) during business hours (Mon–Fri 9:00–18:00 CET).
8. Data ownership
The data you enter into FacturaOk is your exclusive property. FacturaOk acts as data processor under the GDPR.
- You can export your data at any time via the API (JSON format) or by requesting a full export.
- Upon cancelling your account, we will retain tax data for the legally required period (minimum 4 years) and delete the rest within 30 days.
8.bis Data Processing Agreement (Art. 28 GDPR)
Acceptance of these terms constitutes the data processing agreement between the User (controller) and FacturaOk (processor) under Article 28 of Regulation (EU) 2016/679. Its essential terms are:
- Subject matter: processing of personal data contained in invoices, customers, products and other records the User enters into the Service, for the purpose of providing the contracted functionality.
- Duration: for the duration of the subscription, plus the tax retention periods described in the Privacy Policy.
- Nature and purpose: issuance, storage and transmission of invoices; VeriFactu, FACe and SII compliance; payment collection; communications to recipients designated by the User.
- Type of personal data: identification and tax data of natural persons (customers, suppliers, contacts) the User chooses to process.
- Categories of data subjects: the User's customers, suppliers and, where applicable, employees.
- FacturaOk's obligations as processor:
- Process the data only in accordance with the User's documented instructions (the Service configuration itself and written requests to dpo@facturaok.es).
- Ensure the duty of confidentiality of persons authorized to process the data.
- Apply the technical and organizational measures described in the Privacy Policy (encryption in transit and at rest, access control, audit log, encrypted backups, sandbox/live separation).
- Not subcontract the processing without prior authorization. The User expressly authorizes the sub-processors listed in the Privacy Policy (AWS, Stripe, Anthropic, AEAT, FACe). Any new sub-processor will be notified at least 30 days in advance, during which time the User may object and terminate the contract without penalty.
- Assist the User in handling data subject rights requests (access, rectification, erasure, restriction, portability, objection).
- Notify the User without undue delay (within 72 hours of becoming aware) of any personal data breach.
- Assist the User in carrying out data protection impact assessments and prior consultations with the AEPD when applicable.
- At the User's choice, delete or return all personal data after the end of the provision of services, and delete existing copies unless legal retention applies.
- Make available to the User the information necessary to demonstrate compliance with Article 28 GDPR and allow reasonable audits (minimum 30 days' notice, no more than once per year unless justified).
- International transfers: Transfers to the USA are covered by the EU-US Data Privacy Framework, as detailed in the Privacy Policy.
- End of processing: The User may request the return (JSON/CSV export) or deletion of the data within a maximum of 30 days from the end of the contract, unless legal retention applies.
9. Limitation of liability
- FacturaOk provides invoicing tools but is not a tax advisor. The user is responsible for the correct application of tax rates and compliance with their tax obligations.
- FacturaOk's total liability is limited to the amount paid by the user in the previous 12 months.
- We are not liable for indirect damages, loss of profit or data loss caused by events outside our control.
10. Suspension and cancellation
- We may suspend an account if we detect fraudulent use, API abuse or breach of these terms, with prior notice when possible.
- You can cancel your subscription at any time from the management panel. Cancellation takes effect at the end of the current billing period.
- Upon cancellation, tax data will be retained for the legally required period.
11. Sandbox environment
FacturaOk offers a sandbox environment for testing. Sandbox data is isolated from the production (live) environment. Invoices issued in sandbox have no fiscal validity and are not submitted to the AEAT.
12. Applicable law
These terms are governed by Spanish law. Disputes shall be referred to the competent courts under applicable procedural law.
